Kingston Wharves Limited (KWL) has advised that at its Annual General Meeting held on June 23, 2016, the Articles of Incorporation of the Company were amended by the passing of the following resolution:
1. THAT, the existing Article 84 of the Articles of Incorporation be deleted in its entirety and replaced with the following:
The Board of Directors shall consist of a minimum of three (3) and a maximum of twelve (12) directors, excluding alternate directors.
2. THAT, the existing Article 112, which is in effect a duplication of Article 85, be deleted in its entirety, and the succeeding Articles be renumbered accordingly.
KWL further advises that these amendments have not yet been approved and registered by the Companies Office of Jamaica. However, as soon as such occurs, copy of the amended Articles of Incorporation will be uploaded to its website, states KWL.
